A fractional interest in a business enterprise that has little or no voice in company affairs, by definition, suffers from a lack of ownership control. Such a fractional ownership interest is sometimes referred to as a \u201cminority interest.\u201d Unless there is a statutory, contractual, or other reason that prevents it, the value of a minority interest in a business enterprise is usually less than the pro rata percentage of the overall value of that business enterprise.<\/p>\n\n\n\n<p>The factors affecting the discount for lack of control (DLOC) basically evolves from the fact that Non-Control owners cannot control.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Policies<\/li>\n\n\n\n<li>Resource allocation<\/li>\n\n\n\n<li>Appointment of management and advisors<\/li>\n\n\n\n<li>Management compensation and perquisites<\/li>\n\n\n\n<li>Acquisitions and divestitures<\/li>\n\n\n\n<li>Distribution policy<\/li>\n\n\n\n<li>Asset acquisition and divestiture<\/li>\n\n\n\n<li>Registration of the Corporation or Partnership\u2019s securities for<\/li>\n\n\n\n<li>public offerings<\/li>\n\n\n\n<li>Prevention of any of these actions<\/li>\n<\/ul>\n\n\n\n<p><strong>Marketability<\/strong><\/p>\n\n\n\n<p>The concept of investment marketability relates to the liquidity of an investment\u2014that is, how quickly and certainly the investment can be converted into cash at the owner\u2019s discretion. Investors value liquidity. Rational investors will pay a price premium for liquidity.
